Terms and Conditions

The Empowerment Achievement Movement, Inc. (T.E.A.M. Inc.) and All Affiliated Programs

 1. Agreement to Terms


These Terms and Conditions ("Terms") govern your use of all websites, programs, services,
events, properties, and digital platforms operated by The Empowerment Achievement
Movement, Inc. ("T.E.A.M. Inc.," "we," "us," or "our"), a Pennsylvania nonprofit corporation
organized under Section 501(c)(3) of the Internal Revenue Code, with its principal office at 4821
Germantown Avenue, Philadelphia, PA 19144.

These Terms apply to T.E.A.M. Inc. as the parent organization and to every program, initiative,
subsidiary, fiscally sponsored project, and venue established or operated under its charter,
including without limitation:

• Men of Courage (MOC) youth mentoring program.
• The Underground Arts & Culture Center (4821 Germantown Avenue).
• Pathway to Freedom workforce and leadership initiatives.
• Custodial workforce training programs and partner workforce initiatives.
• Future programs, services, or properties launched under T.E.A.M. Inc.

By accessing our websites, enrolling in any program, attending an event, donating, subscribing,
renting our facilities, volunteering, partnering with us, or interacting with our communications,
you accept these Terms. If you do not accept, do not use our services.

2. Organizational Status

T.E.A.M. Inc. is a registered 501(c)(3) tax-exempt nonprofit founded in 2015. Our mission is to
empower communities by promoting the academic, mental, emotional, social, financial, and
career development of the next generation of male leaders. Donations to T.E.A.M. Inc. and its
programs are tax-deductible to the extent allowed by law. EIN and state registration details are
available on request.

3. Scope: Parent Organization and Programs
These Terms function as the master agreement for T.E.A.M. Inc. Each program may publish
supplemental terms, waivers, codes of conduct, or rental agreements specific to its operations.

 In the event of a conflict, the program-specific signed agreement controls for matters within its
scope; these Terms control for all other matters.


Programs covered include but are not limited to:


3.1 Men of Courage (MOC)


Youth mentoring for young men ages 12 to 18, including workshops, college preparation, trips,
and community service. Governed by these Terms and the MOC Parent and Mentee
Agreement.


3.2 The Underground Arts & Culture Center


A community venue at 4821 Germantown Avenue offering rentals for events, performances,
meetings, and community programming. Governed by these Terms and the signed
Underground Rental Agreement.


3.3 Workforce and Career Training Programs


Initiatives that prepare participants for trades, custodial work, entrepreneurship, and other
career pathways, including partnerships with employers and training providers. Governed by
these Terms and program-specific enrollment agreements.


3.4 Future Programs


Any program established under T.E.A.M. Inc. is automatically subject to these Terms unless a
written supplemental agreement provides otherwise.


4. Eligibility, Enrollment, and Parental Consent


Eligibility requirements vary by program. General rules:


• Program participants must meet the age, residency, and eligibility criteria stated for that
program.
• Participants under 18 require written consent from a parent or legal guardian for
enrollment, travel, photography, and medical authorization.
• Adult participants must complete program applications, background-check authorizations
where required, and any waivers.
• T.E.A.M. Inc. reserves the right to accept, deny, suspend, or terminate any enrollment at
its discretion.


5. Code of Conduct
All participants, parents, mentors, volunteers, staff, partners, vendors, renters, and guests agree
to:

• Treat others with respect and without harassment, discrimination, or threats.
• Follow instructions from T.E.A.M. Inc. staff, chaperones, and program leaders.
• Refrain from violence, weapons, drugs, alcohol (where prohibited), and illegal activity at
all T.E.A.M. Inc. activities and properties.
• Respect T.E.A.M. Inc. property, equipment, and the property of others.
• Communicate honestly about absences, schedule conflicts, and program issues.


Violations may result in removal from the activity or program, termination of enrollment, ban
from properties, and forfeiture of fees or donations, without refund. Serious violations may be
reported to law enforcement.


6. Risk Acknowledgment and Waiver
Programs and events involve travel, physical activity, public gatherings, and use of facilities and
equipment. Participation involves inherent risks, including but not limited to bodily injury,
property damage, illness, and exposure to communicable disease. By participating, you accept
these risks on behalf of yourself and any minor for whom you have legal responsibility.
Participation in specific activities may require signed liability waivers and medical authorizations.
These supplemental waivers are part of these Terms.


7. Donations and Subscriptions
7.1 Payment Processing

Donations and subscription payments are processed through Stripe and other authorized third-
party processors. T.E.A.M. Inc. does not store full payment card data. By donating, you

authorize the processor to charge your selected payment method.


7.2 Recurring Donations
Weekly and monthly donations recur automatically until you cancel. To cancel, contact
MOCInfo15@gmail.com or call (888) 625-0324. Cancellations take effect before the next billing
cycle.


7.3 Refund Policy


Donations are generally non-refundable. If a donation was made in error, contact us within 15
days of the transaction. Refund decisions rest with T.E.A.M. Inc. leadership and will be
processed through the original payment method.


7.4 Tax Receipts and Deductibility

Donors receive an electronic receipt at the email provided. Donations to T.E.A.M. Inc. are tax-
deductible to the extent allowed by law. Consult your tax advisor regarding deduction eligibility.

 7.5 Restricted Gifts


Donors may designate gifts to a specific program. T.E.A.M. Inc. honors restrictions to the extent
practical. If a designated program ends or cannot use the funds as restricted, T.E.A.M. Inc.
reserves the right to redirect the donation to its general fund or a similar program, consistent
with IRS and Pennsylvania nonprofit rules.


8. Venue Rentals (The Underground and Future Properties)


Rental of T.E.A.M. Inc. properties requires a separate signed Rental Agreement covering:


• Rental fees, deposits, and payment schedule.
• Cancellation and refund terms.
• Insurance, indemnification, and liability requirements.
• Permitted uses, capacity limits, and conduct rules.
• Cleaning, damage, and post-event responsibilities.
The signed Rental Agreement controls in any conflict with these Terms regarding the rental.


9. Photo, Video, and Media Release


T.E.A.M. Inc. documents its programs and events through photography, video, and audio for
promotional, educational, fundraising, grant reporting, and historical purposes. By participating
in or attending any T.E.A.M. Inc. activity, you grant T.E.A.M. Inc. a perpetual, royalty-free
license to use your image, voice, and likeness in:
• Websites and social media.
• Marketing, fundraising, and grant materials.
• Press releases and news features.
• Annual reports and presentations.
To opt out, submit a written request to MOCInfo15@gmail.com before participation. Opt-out
requests apply to future use only.


10. Volunteers, Mentors, and Partners


Volunteers, mentors, contractors, and program partners must:
• Complete required applications, interviews, and background checks.
• Comply with the Code of Conduct and child protection policies.
• Maintain confidentiality of participant information.
• Follow training, supervision, and reporting requirements.

Volunteer status does not create an employment relationship. T.E.A.M. Inc. reserves the right to
end any volunteer or partner engagement at its discretion.


11. Communications and Marketing Platforms


T.E.A.M. Inc. communicates through email, SMS, social media, and platforms such as
HighLevel. By providing your contact information, you consent to receive program updates,
event notices, fundraising appeals, and administrative messages. Standard message and data
rates apply to SMS.


To unsubscribe from email, use the unsubscribe link in any message. To stop SMS, reply
STOP. To remove your information from our records entirely, contact MOCInfo15@gmail.com.


12. Intellectual Property


All content, branding, curricula, program materials, logos, and trademarks of T.E.A.M. Inc. and
its programs (including Men of Courage, The Underground, and Pathway to Freedom) are
owned by T.E.A.M. Inc. or its licensors. You receive a limited, non-exclusive, non-transferable
license to view content for personal, non-commercial use.


You agree not to:


• Copy, reproduce, modify, or distribute T.E.A.M. Inc. content without written permission.
• Use T.E.A.M. Inc. or program names, logos, or trademarks without written authorization.
• Replicate program curricula or training materials for use outside T.E.A.M. Inc.
• Scrape, mirror, or automate access to our digital properties.


13. User-Submitted Content


When you submit testimonials, photos, videos, written feedback, or other content to T.E.A.M.
Inc., you grant us a worldwide, royalty-free, perpetual, sublicensable license to use, reproduce,
edit, and display the content for mission-related purposes. You confirm you own the content or

have all rights necessary to grant this license, and that the content does not infringe any third-
party rights.

14. Confidentiality and Participant Privacy
T.E.A.M. Inc. handles participant records, mentee files, medical information, and donor data
with care. Staff and volunteers are bound by confidentiality requirements. Participant data is
shared only as required for program operation, legal compliance, grant reporting (in aggregated,
de-identified form where possible), or with your written consent.

 Use of our websites is also governed by our Privacy Policy, which is incorporated into these
Terms by reference.


15. Third-Party Services


Our websites and operations rely on third-party services, including Stripe, Wix, Google
Workspace, HighLevel, DocuSign, and social media platforms. We do not control these services
and are not responsible for their content, security, or practices. Your use of third-party services
is governed by their own terms.


16. Prohibited Uses


You agree not to:


• Violate any law, regulation, or third-party right.
• Transmit malware, viruses, or harmful code.
• Impersonate any person, organization, or T.E.A.M. Inc. representative.
• Harass, threaten, defraud, or harm participants, staff, or the public.
• Interfere with the security or operation of our digital platforms.
• Collect personal information about other users or participants.
• Use T.E.A.M. Inc. resources for political campaign activity inconsistent with 501(c)(3)
rules.


17. Disclaimers


T.E.A.M. Inc. provides its websites, programs, and services on an "as is" and "as available"
basis. While we report strong outcomes (including a 100% high school graduation rate and 0%
incarceration rate among Men of Courage program completers), individual results depend on
many factors and are not guaranteed.


We make no warranties, express or implied, regarding program outcomes, employment
placement, scholarship awards, venue availability, or third-party services. We do not warrant
that our digital platforms will be uninterrupted, error-free, or secure from unauthorized access.


18. Limitation of Liability


To the fullest extent permitted by law, T.E.A.M. Inc., its directors, officers, staff, mentors,
volunteers, and affiliates are not liable for any indirect, incidental, consequential, special, or
punitive damages arising from your use of our websites, services, programs, properties, or
events.

 Our total aggregate liability for any claim is limited to the greater of (a) the amount you paid to
T.E.A.M. Inc. in the 12 months before the claim arose, or (b) $100. Some jurisdictions do not
allow these limits; in those cases, our liability is limited to the maximum extent allowed by law.


19. Indemnification


You agree to defend, indemnify, and hold harmless T.E.A.M. Inc., its board, staff, mentors,
volunteers, and affiliates from any claims, damages, losses, judgments, or expenses (including
reasonable attorney fees) arising from:


• Your violation of these Terms or program rules.
• Your use of our websites, services, programs, or properties.
• Content you submit, share, or post.
• Your violation of any law or third-party right.
• Damage you cause to T.E.A.M. Inc. property or the property of others at our events.


20. Background Checks and Child Protection


Because T.E.A.M. Inc. serves minors, all staff, mentors, volunteers, contractors, and frequent
partners working directly with youth must complete required background checks under
Pennsylvania law, including PA Child Abuse History Clearance, PA State Police Criminal
Record Check, and FBI Fingerprint Clearance where applicable. Failure to maintain valid
clearances disqualifies you from program roles involving youth.


21. Termination and Suspension


T.E.A.M. Inc. may suspend or terminate your access to websites, programs, services,
properties, or events at any time, with or without cause, including for violation of these Terms,
the Code of Conduct, applicable law, or for safety reasons. Termination does not entitle you to a
refund of donations, fees, or rentals except as expressly provided in a signed agreement.


22. Modifications


We reserve the right to update these Terms at any time. Material changes will be posted on our
websites with a revised effective date and, where practical, communicated to active program
participants and donors. Continued use of our services after changes means you accept the
updated Terms.


23. Governing Law and Dispute Resolution

 These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard
to conflict of laws principles. Any dispute arising from these Terms or your use of our services
will be resolved exclusively in the state or federal courts located in Philadelphia County,
Pennsylvania, and you consent to personal jurisdiction in those courts.


Before filing any claim, you agree to first contact T.E.A.M. Inc. at MOCInfo15@gmail.com to
attempt informal resolution in good faith for at least 30 days.


24. Severability


If any provision of these Terms is found unenforceable, the remaining provisions stay in full
effect. Unenforceable provisions will be interpreted to reflect the original intent as closely as
possible within the limits of the law.


25. No Waiver


Failure by T.E.A.M. Inc. to enforce any provision of these Terms does not waive our right to
enforce that provision later.


26. Assignment


You may not assign or transfer your rights or obligations under these Terms without our written
consent. T.E.A.M. Inc. may assign these Terms to a successor organization or affiliate.


27. Entire Agreement
These Terms, together with our Privacy Policy and any signed program enrollment, rental,
volunteer, partnership, or release agreements, form the entire agreement between you and
T.E.A.M. Inc. regarding your use of our websites, programs, services, properties, and
communications.
